- Lead adviser to the Government of Kenya in relation to the privatisation and listing of shares in Kenya Reinsurance Corporation Limited.
- Legad adviser on teh IPOs of AccessKenya Group Limited and Eveready East Africa Limited.
- Lead adviser to the Government of Kenya in relation to the privatisation and listing of shares in Kenya Electricity Generating Company Limited.
- Lead adviser to the Government of Kenya in relation to the Privatisation and IPO of Mumias Sugar Company Limited
- Lead adviser to the Rift Valley Railways Consortium in respect of the concessioning of the Kenya and Uganda Railways.
- Lead Advisor on the Sasini Ltd Bond Issue in 2007.
- Lead Advisor on the NIC Bank Ltd and Housing Finance Company of Kenya Limited Rights Issues.
- Advice on equity participation by foreign investors in one of the largest building societies in Kenya.
- Advice in respect of the conversion of Equity Building Society to a Bank (the first of its kind in Kenya).
- Advice to the shareholders of Giro Commercial Bank Limited in respect of the sale of shares to State Bank of India.
- Advise to Aureos East Africa Fund LLC, in respect of several private debt and equity investments in East Africa, in the banking, tourism, manufacturing and retail sectors.
- Advice to the vendors of First American Bank Kenya Limited in respect of the sale of shares to Commercial Bank of Africa Limited.
- Advice to Actis LLP in respect of the acquisition of Banque Commerciale du Rwanda from the Government of Rwanda.
- Advice to National Bank of Kenya in respect of the issue of bonds on the NSE by East African Development Bank.
- Advice in respect of issue of Commercial Papers in Kenya by General Motors Limited (reviewing and commenting on behalf of General Motors Limited), Safaricom Limited (review on behalf Telkom Kenya Limited, as the majority shareholder of Safaricom) and Kenya Power & Lighting Company Limited (comprehensive advice to KP&LC).
- Advice to the Sopa Lodges in respect of the acquisition of a hotel group in East Africa.
- Advise to Avery UK in respect of the sale of its shares in Avery Kenya Limited.
- Adviser the Nairobi Stock Exchange on ongoing issues.
- Several legal due diligence exercises in respect of acquisitions of businesses or companies in various sectors, including banks, hotels, insurance companies and manufacturing concerns.
- We were involved in a Consultancy to create a central depository system for clearing and settlement trades on the Nairobi Stock Exchange. This included the drafting of the proposed legislation (principal and subsidiary) which was eventually enacted as the Central Depository Act, Act No. 4 of 2000.
- We were alsol involved in advising on proposed amendments to the Capital Markets Act, Rules and Regulations and have drafted and submitted the proposed amendments to its client, the Nairobi Stock Exchange.
- We recently drafted regulations to govern credit reference bureaus in Kenya which draft regulations have been submitted to the Central Bank of Kenya for approval and enactment.
- We have acted in the Public Share Issues for Standard Chartered Bank Kenya Limited, both Public Share Issues of National Bank of Kenya Limited, Uchumi Supermarkets Limited, Crown Berger Kenya Limited, East African Packaging Industries Limited, Dunlop Kenya Limited and Brooke Bond Kenya Limited.
- We represented KLM Royal Dutch Airlines in the purchase of 26% of the shareholding in Kenya Airways Limited.
In the process we have developed a wealth of experience in conducting legal audits and due diligences of companies, review and drafting and negotiating of transactional documents and advising on relevant laws and regulations especially those relating to companies, banking, capital markets and state corporations, as well as competition law.
We also act as trustee in respect of commercial paper, notes and securities for several clients.
